Corporate & commercial matters
Commercial advice should connect the contract, the business objective and the practical route to resolving a disagreement.
The matters covered
The practice considers business contracts, commercial notices, payment and recovery disputes, partnership disagreements and dispute-resolution clauses. Existing agreements and the history of performance shape the available options.
A cheque-dishonour matter, an ordinary recovery claim and an arbitration reference can involve different procedures and strict dates. They should be assessed separately even when they arise from the same transaction.
Records for an initial review
- Signed contracts and amendments, including the dispute-resolution clause.
- Invoices, purchase orders, delivery records and account reconciliations.
- Cheques, bank return records, notices and delivery proof where relevant.
- Relevant company or partnership records and earlier proceedings.
How the next step is assessed
The review identifies the contracting parties, the obligation said to be breached and the best-supported relief. It checks notice requirements, limitation and the appropriate forum.
Before escalating, the practical value of negotiation, mediation or arbitration can be considered. Any settlement should clearly address payment, performance, default and the disposal of pending proceedings.
Questions that often arise
Does an arbitration clause cover every dispute?
Its wording, validity, scope and the nature of the dispute must be examined. Some matters cannot be decided by private arbitration.
Can one notice be used for every recovery matter?
No. The factual basis and statutory requirements vary. A cheque-dishonour notice, for example, requires a specific timing and document review.
