Unpaid business invoices — choosing a recovery route

For unpaid invoices, first establish the contract, correct debtor, supply or work performed, payment terms and outstanding amount. The proper route may involve a civil or commercial suit, arbitration or an eligible statutory mechanism. An invoice total alone does not choose the forum.

What to examine

Match purchase orders, delivery or acceptance records, credit notes and payments invoice by invoice. Identify any quality dispute, set-off or jurisdiction clause. A demand notice can clarify the claim but should not be assumed to suspend limitation. If the customer is a company, its directors are not automatically personally liable for every debt.

Records to collect

  • Contract or purchase order
  • invoices and delivery evidence
  • complete ledger and bank receipts
  • objections and dispute-resolution clause

Keep complete, dated copies and preserve originals. Note which records are missing and where they may be requested; do not alter a document to fill a gap in the history.

The applicable framework

Business records should identify the legal entity, agreed terms, performance and exact amount or decision disputed. Commercial-court procedure, arbitration and sector-specific mechanisms can impose different preliminary steps and remedies. A contract label or a business address alone does not determine the competent forum or establish personal liability.

A practical next step

Prepare an evidence-linked account and assess limitation, forum and enforceability before choosing a demand, negotiated settlement or recovery proceeding.
