LEGAL GUIDE · LOCAL BUSINESSES AND COMMERCIAL DISPUTES

A partner leaves the business — accounts and liabilities

When a partner leaves, the deed, legal form and agreed exit terms determine the starting questions. Retirement, dissolution and transfer of an interest are different events. A private exit agreement does not automatically discharge liabilities owed to banks, suppliers or other outsiders.

What to examine

Reconcile capital, drawings, stock, receivables, tax and guarantees before signing a final account. Identify who may use the business name, collect debts, operate accounts and retain records. Required notices, filings and creditor consent depend on the entity and transaction. A company or LLP should not be treated as an ordinary partnership by default.

Records to collect

  • Partnership or entity documents
  • accounts and bank mandates
  • creditor and guarantee records
  • proposed retirement or dissolution terms

Keep complete, dated copies and preserve originals. Note which records are missing and where they may be requested; do not alter a document to fill a gap in the history.

The applicable framework

Business records should identify the legal entity, agreed terms, performance and exact amount or decision disputed. Commercial-court procedure, arbitration and sector-specific mechanisms can impose different preliminary steps and remedies. A contract label or a business address alone does not determine the competent forum or establish personal liability.

A practical next step

Prepare a closing balance and responsibility schedule. Document authority, third-party releases where needed and the process for unresolved accounts before calling the exit complete.
