LEGAL GUIDE · LOCAL BUSINESSES AND COMMERCIAL DISPUTES
Ending a franchise or distribution agreement
Ending a franchise or distribution arrangement requires careful reading of termination grounds, notice, cure, stock, deposits, branding and post-termination duties. A commercial disagreement does not itself cancel the agreement or release every outstanding liability.
What to examine
Check whether the notice relies on a contractual breach, expiry or a termination-for-convenience clause. Preserve sales records, targets, supply failures and prior warnings. Continuing to use a brand, customer database or confidential material after termination may create additional issues. Assess dispute-resolution terms and interim arrangements for existing customers without promising a unilateral exit is risk-free.
Records to collect
- Agreement and amendments
- termination or cure notice
- stock and payment reconciliation
- branding and customer obligations
Keep complete, dated copies and preserve originals. Note which records are missing and where they may be requested; do not alter a document to fill a gap in the history.
The applicable framework
Business records should identify the legal entity, agreed terms, performance and exact amount or decision disputed. Commercial-court procedure, arbitration and sector-specific mechanisms can impose different preliminary steps and remedies. A contract label or a business address alone does not determine the competent forum or establish personal liability.
A practical next step
Prepare a clause-by-clause exit checklist and respond within the applicable contractual or legal timetable. Record stock return, deposit adjustment and final discharge in writing.
