LEGAL GUIDE · LOCAL BUSINESSES AND COMMERCIAL DISPUTES
A personal guarantee is invoked for a business debt
A personal guarantee may create liability distinct from the company's debt, but its scope depends on the instrument and applicable law. Identify the guarantor, guaranteed obligations, cap if any, invocation and any later variation or release. Resigning from the business does not automatically cancel a guarantee.
What to examine
Obtain the signed guarantee, facility agreement, account statement and every demand or renewal. Defences, creditor remedies and the effect of restructuring require specific assessment. Do not assume the creditor must first exhaust every remedy against the borrower. Equally, a demand should be checked against what the guarantor actually agreed to secure.
Records to collect
- Guarantee instrument
- loan or facility documents
- invocation and service record
- renewal, variation and payment records
Keep complete, dated copies and preserve originals. Note which records are missing and where they may be requested; do not alter a document to fill a gap in the history.
The applicable framework
Business records should identify the legal entity, agreed terms, performance and exact amount or decision disputed. Commercial-court procedure, arbitration and sector-specific mechanisms can impose different preliminary steps and remedies. A contract label or a business address alone does not determine the competent forum or establish personal liability.
A practical next step
Prepare a guarantee exposure note and seek timely advice on the proper forum and response. Record any negotiated release expressly rather than relying on an informal assurance.
