Settling a business debt — recording a complete discharge

A business-debt settlement should define the debt, payment schedule, interest treatment and what discharge follows actual performance. 'Full and final' wording without a clear amount, release and default mechanism can leave disputes alive. Confirm that the signatories can bind the relevant parties.

What to examine

Identify pending suits, arbitration, cheque cases, guarantees and security interests separately. Some proceedings require court or statutory orders and cannot be ended by a receipt alone. Specify how payments are allocated and when securities or documents are returned. Avoid releasing a claim before funds clear unless that is the intended, advised arrangement.

Records to collect

  • Debt reconciliation
  • entity and signing-authority documents
  • pending-case and security details
  • proposed payment and release terms

Keep complete, dated copies and preserve originals. Note which records are missing and where they may be requested; do not alter a document to fill a gap in the history.

The applicable framework

Business records should identify the legal entity, agreed terms, performance and exact amount or decision disputed. Commercial-court procedure, arbitration and sector-specific mechanisms can impose different preliminary steps and remedies. A contract label or a business address alone does not determine the competent forum or establish personal liability.

A practical next step

Use a complete settlement instrument and proceeding-by-proceeding closure plan. Record each payment and obtain the required discharge or disposal documents after performance.
